Worca Platform Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Worca platform, including worca.io and Worca Teamspace (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

Worca may revise these Terms at any time. Changes take effect immediately upon posting. Continued use indicates acceptance.

2. User Accounts

2.1 Account Creation

Access to certain Platform features requires account creation. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your login credentials
  • Keep usernames, passwords, and security information confidential
  • Promptly update information if it changes
  • Accept responsibility for all activities under your account

2.2 Account Types

The Platform supports different user types:

  • Clients: Companies engaging Worca services
  • Talent: Individuals placed through Worca
  • Talent Partners: Recruiting partners
  • Referral Partners: Client referral partners

Each account type has specific access rights and obligations.

2.3 Account Security

You are responsible for safeguarding your account. Notify us immediately at security@worca.io if you suspect unauthorized access.

3. Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or viruses
  • Attempt unauthorized access to systems
  • Interfere with Platform operation
  • Harvest or collect user information
  • Impersonate others
  • Engage in fraudulent activity
  • Use automated tools without permission

4. Intellectual Property

4.1 Worca Property

The Platform and all content, including software, designs, trademarks, logos, and text, are owned by Worca or its licensors. Unauthorized copying, modification, or distribution is prohibited.

4.2 Limited License

Subject to these Terms, Worca grants you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purposes.

4.3 User Content

When you submit content to the Platform, you grant Worca rights to use, reproduce, modify, and distribute that content for Platform operations. You represent that you own or have rights to submitted content.

5. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

6. Third-Party Services

The Platform may integrate with third-party services. Your use of such services is subject to their terms and policies. Worca is not responsible for third-party services.

7. Service Availability

Worca strives to maintain Platform availability but does not guarantee uninterrupted access. We may:

  • Perform maintenance (with advance notice when possible)
  • Modify or discontinue features
  • Suspend access for Terms violations
  • Limit access during security incidents

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “WITH ALL FAULTS” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WORCA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY
  • UNINTERRUPTED OR ERROR-FREE OPERATION

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • WORCA’S LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM
  • WORCA IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • THIS INCLUDES DAMAGES FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL

SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Worca, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit

11. Termination

11.1 By You

You may stop using the Platform at any time. To close your account, contact support@worca.io.

11.2 By Worca

Worca may terminate or suspend your access without prior notice for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Prolonged inactivity
  • Platform discontinuation

11.3 Effect of Termination

Upon termination:

  • Your access rights cease immediately
  • You must stop using the Platform
  • Provisions that should survive will remain in effect

12. Dispute Resolution

12.1 Informal Resolution

Before filing any claim, you agree to try to resolve disputes informally by contacting legal@worca.io.

12.2 Arbitration

Disputes not resolved informally will be resolved through binding arbitration under JAMS rules in Los Angeles, California.

12.3 Class Action Waiver

You agree to resolve disputes individually. You waive any right to participate in class actions or class arbitration.

12.4 Time Limit

Any claim must be filed within one (1) year after the claim arose.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

14. Geographic Restrictions

The Platform is intended for use in the United States and countries where we operate. Users are responsible for compliance with local laws.

15. Modifications

Worca may modify these Terms at any time. Material changes will be communicated via:

  • Platform notification
  • Email to registered users
  • Website posting

Continued use after changes constitutes acceptance.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any service-specific terms, constitute the entire agreement regarding the Platform.

16.2 Severability

If any provision is found unenforceable, other provisions remain in effect.

16.3 Waiver

Failure to enforce any right is not a waiver of that right.

16.4 Assignment

You may not assign these Terms. Worca may assign without restriction.
